25. MIDTERM REVIEW <br /> A. The purpose of this section is to provide a process for a midterm review of the terms <br /> and conditions of the TSA in the event that there is a legitimate and substantial change <br /> in conditions or law affecting the majority of the Operators or the PPD. <br /> B. A midterm review, when granted by the PPD, shall not automatically authorize a change <br /> in the terms and condition of the TSA. If a midterm review is announced by the Police <br /> Chief, it is the responsibility of the Special Operations Commander to conduct the <br /> review of the conditions which initially caused the request to be communicated and to <br /> determine if a change is justified. <br /> 26. ADVERTISING <br /> An Operator shall not display any sign or engage in any advertisement indicating an official <br /> or unofficial connection with the City of Pleasanton, PPD, or the Department of Motor <br /> Vehicles. <br /> 27. CHANGES <br /> Changes from full compliance with the TSA shall not be authorized by verbal agreement. <br /> Any changes shall be mutually agreed upon between the Operator and PPD and subject to a <br /> written amendment to the TSA executed by the Operator and PPD. <br /> 28.TERMINATION <br /> The TSA may be terminated by either party by giving written notice to the other party. <br /> 29.OPERATOR APPROVAL <br /> I certify that all drivers operating under this TSA are qualified and competent. I further <br /> certify that I have read and understand the TSA and agree to abide by all of its provisions. I <br /> further agree to indemnify, defend and hold harmless the City of Pleasanton, its officers, <br /> agents, and employees from any and all claims and losses accruing or resulting to the <br /> Operator in connection with the performance of the TSA, and from any and all claims and <br /> losses accruing or resulting to any person,firm or corporation who may be injured or <br /> damaged by the Operator in the performance of the TSA. The Operator and its agents and <br /> employees of the Operator, in the performance of the TSA, shall act in an independent <br /> capacity and not as officers or employees or agents of the City of Pleasanton. I certify that <br /> the address below is the address to which any notification, from the City of Pleasanton as <br /> required under the TSA, shall be sent to me as an Operator. I warrant and represent that I <br /> am executing the TSA in my authorized capacity on behalf of the business below and <br /> individually. <br /> The TSA shall become effective on September 1, 2011 and end on June 30, 2013. <br /> 2011-2013 TSA Page 29 of 30 <br />
