AGREEMENT THIS AGREEMENT, made and entered into this 14th day of November, 1963, by and between the CITY OF PLEASANTON, a municipal corporation of the State of California, hereinafter called "City", and STURGIS, DEN-DULK, DOUGLASS & ANDERSON, Attorneys at Law, hereinafter called "Special Bond Counsel"; WITNESS ETH : That for and in consideration of the mutual covenants and agreements herein contained, the parties hereto agree as follows: 1. City proposes to initiate proceedings for the construc- tion of improvements to be made in "Assessment District No . 63-1, City of Pleasanton, County of Alameda, State of California". 2. City hereby employs Special Bond Counsel and said Special Bond Counsel hereby agrees to accept employment by City as said Special Bond Counsel for said proceedings. Said services shall include the fol lowing: a. Such preliminary consultations and advice as are neces- sary with City officials, or City officials and groups not comprised of City officials, to determine the best proceedings to be taken and what district is to be formed; b. Preparation of all resolutions, notices and other papers, documents and proceedings required by the pro- visions of the "Special Assessment Investigation, Limi- tation and Majority Protest Act of 1931" of the State of California; c. Preparation of all resolutions, notices and other papers, documents and proceedings required by the provisions of the "Municipal Improvement Act of 1913" in carrying through the proceedings for the work con- templated; d. Complete supervision of all stages of the proceedings and attendance at such public and private meetings as are reasonably necessary to carry through the project to completion; d. Special Bond Counsel is to be available for consultation by City officials, groups or individuals for information by telephone or otherwise, if it can be arranged; e. Special Bond Counsel agree that there shall be included in the amount of the fee provided to be paid opinion to the purchaser or purchasers of bond~ which may be issued in the proceedings. 3. The fee herein provided for does not include out-of- pocket, transportation, communication, or other out-of-pocket expenses of Special Bond Counsel, nor does it include compensation for acquisi- tion of properties to be acquired either by litigation or negotiation. -1-
