ATTACHMENT A <br /> <br /> (e) A sublease or subleases of non-residential spaces in the Improvements. <br />The Lessee shall not, without first obtaining the written consent of the Lessor. sublet the <br />Improvements or any part of such Improvements, and Lessor expressly covenants that such <br />consent shall not be unreasonably or arbitrarily refused. <br /> <br />2.10 IcivfeCtllRticm ,qf ("e, rtain Pe, rmitted TrRn~(~r~ <br /> <br /> No Transfer of this Lease permitted pursuant to Section 2.11 (other than a transfer <br />pursuant to Section 2.9(a) or (b)), shall be effective unless, at the time of the Transfer, the person <br />or entity to which such Transfer is made, by an instrument in writing reasonably satisfactory to <br />the Lessor and in form recordable among the land records, shall expressly assume the obligations <br />of the Lessee under this Lease and agree to be subject to the conditions and restrictions to which <br />the Lessee is subject arising during this Lease, and or Improvements to the fullest extent that <br />such obligations are applicable to the particular portion of or interest in the Land or <br />Improvements conveyed in such Transfer. Anything to the contrary notwithstanding, the holder <br />of a Loan whose interest shall have been acquired by, through or under a Loan Document or shall <br />have been derived immediately from any holder thereof shall not be required to give to the <br />Lessor such written assumption until such holder or other person is in possession of the Land or <br />Improvements or entitled to possession thereof pursuant to enforcement of the Loan Document. <br /> <br /> In the absence of specific written agreement by the Lessor, no such Transfer, assignment or <br />approval by the Lessor shall be deemed to relieve the Lessee or any other party from any <br />obligations under this Lease. <br /> <br />2.1 ] Other Tr~nqft~r~ with I e~or Con~ent <br /> <br /> The Lessor may, in its reasonable discretion, approve in writing other Transfers as <br />requested by the Lessee. In connection with such request, there shall be submitted to the Lessor <br />for review all instruments and other legal documents proposed to effect any such Transfer. Ifa <br />requested Transfer is approved by the Lessor such approval shall be indicated to the Lessee in <br />writing. Such approval shall be granted or denied by the Lessor within sixty (60) days of receipt <br />by the Lessor of Lessee's request for approval of a Transfer. <br /> <br />2.12 Optinn tn P]]rchs~e ancl Right nfFir~t Refimnl <br /> <br /> In the event that this Lease is terminated as a result of a prohibited Transfer, then the <br />Lessor shall have an option to purchase the Improvements on terms attached to this Lease as <br />Fxhihit D.
