Section 8: Approval of Continuing Disclosure Agreement. The form of Continuing Disclosure Agreement (the "Continuing Disclosure Agreement"), between the City and the Trustee, acting as dissemination agent, as presented at this meeting is hereby approved. An Officer is hereby authorized and directed, for and on behalf of the City, to execute, acknowledge, and deliver the Continuing Disclosure Agreement, in substantially the form presented to this meeting, with such changes therein as such Officer may require or approve, with the advice and approval of the City Attorney and Special Counsel, such approval to be conclusively evidenced by the execution and delivery thereof. Section 9: Approval of Escrow Agreement. The form of Escrow Agreement (the "Escrow Agreement"), between the City and U.S. Bank, N.A., as Escrow Agent hereunder, as presented at this meeting is hereby approved. An Officer is hereby authorized and directed, for an on behalf of the City, to execute, acknowledge, and deliver the Escrow Agreement, in substantially the form presented to this meeting, with such changes therein as such Officer may require or approve, with the advice and approval of the City Attomey and Special Counsel, such approval to be conclusively evidenced by the execution and delivery thereof. Section 10: Other Acts. The Officers and staff of the City are hereby authorized and directed, jointly and severally, to do any and all things, to execute and deliver any and all documents, which in consultation with Special Counsel, they may deem necessary or advisable in order to effectuate the purposes of this Resolution, including, but not limited to, any matters relating to the purchase of a municipal bond insurance policy by the City and the investment of proceeds of the Certificates, and any and all such actions previously taken by such Officers or staff members are hereby ratified and confirmed.
