CITY COUNCIL OF THE CITY OF PLEASANTON ALAMEDA COUNTY, ALAMEDA REgOLUTION NO. 03-023 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PLEASANTON APPROVING A LEASE AGREEMENT, A SITE LEASE, A TRUST AGREEMENT, A CONTINUING DISCLOSURE AGREEMENT, AN ESCROW AGREEMENT, A NOTICE OF SALE AND AN OFFICIAL STATEMENT; MAKING CERTAIN DETERMINATIONS RELATING THERETO; AND AUTHORIZING CERTAIN OTHER ACTIONS IN CONNECTION THEREWITH WHEREAS, WHEREAS, WHEREAS, WHEREAS, WHEREAS, WHEREAS, the City of Pleasanton (the "City") is a municipal corporation duly organized and validly existing under the laws of the State of California; and the City is authorized to lease its property to finance and refinance public capital improvements, including those improvements constituting the Leased Property (as defined below); and the City has determined to enter into a Lease Agreement with the Pleasanton Joint Powers Financing Authority (the "Authority") pursuant to which the City will lease the Leased Property from the Authority; and under and pursuant to such Lease Agreement, the City will be obligated to make certain lease payments to the Authority; and the City has determined that it would be in the best interests of the City and the citizens of the community to authorize the preparation, execution and delivery of its Certificates of Participation, Series 2003 (Golf Course/Senior Center Project) (the "Certificates"), which Certificates shall be payable from, among other sources, payments made by the City under and pursuant to such Lease Agreement, all under and in accordance with the laws of the State of California; and there have been presented at this meeting forms of a Lease Agreement, a Trust Agreement, a Site Lease, an Escrow agreement, a Notice of Sale, a Memorandum of Lease, a Continuing Disclosure Agreement, and a Preliminary Official Statement (as defined herein).
