e) OPERATOR shall deliver to CITY all records and information related to <br /> tournaments, banquets and other events booked at the Ciolf Course for the Contract Transition <br /> Period or any time thereafter. <br /> 0 OPERATOR shall deliver to CITY current copies of all contracts, permits and <br /> licenses affecting Golf Course operations, including without limitation, leases for golf carts and <br /> other Golf Course equipment. <br /> g) OPERATOR shall transfer possession of the Premises, Facilities, Furnishings and <br /> Equipment, supplies, software, databases, books, records and materials purchased, prepared or <br /> maintained under this Agreement to the new operator or CITY, as CITY shall direct. If CITY <br /> determines that the Premises, any Facilities, Furnishings and Equipment or other item is not in <br /> an acceptable condition accounting for normal wear and tear, OPERATOR shall have the <br /> burden of demonstrating that the item was properly maintained or that the item is useable and <br /> in good condition. OPERATOR shall reimburse CITY for the cost of repair or replacement of <br /> any item that is not in useable and good condition, normal wear and tear excepted. <br /> h) OPERATOR shall transfer all keys, convey all alarm codes and vacate the Premises. <br /> 1) OPERATOR shall assign to CITY and CITY shall assume OPERATOR's <br /> obligations under any loans and leases incurred or entered into by OPERATOR with respect to <br /> Furnishings and Equipment or supplies then in use at the Golf Course, provided that the <br /> following conditions are met unless waived by the CITY: (i) OPERATOR shall have delivered <br /> to CITY written documentation acceptable to CITY showing that OPERATOR has fully <br /> performed its obligations under such loans and leases through the date CITY assumes such <br /> obligations, and (ii) with respect to any agreements in excess of one year or whose term <br /> extended beyond the expiration date of this Agreement, CITY shall have given its written <br /> approval to the agreement. <br /> 15.0 WORK STOPPAGES, DAMAGE OR DESTRUCTION. <br /> 15.01 Work Stoppages. In the event concerted activities by labor groups (e.g., picketing, <br /> strikes, etc.) result in OPERATOR's employees not entering and working at the Premises, <br /> OPERATOR shall, if Director so requests in writing, seek appropriate administrative or court <br /> orders to return operations to normal. During such period, OPERATOR shall operate the <br /> Premises on a best efforts basis until labor relations are normalized. If and only if Director <br /> gives OPERATOR a written request to seek administrative or court orders will the cost of <br /> doing so shall be a Direct Cost. <br /> 15.02 Damage or Destruction. Should the Golf Course be destroyed or substantially <br /> damaged by fire, flood, acts of God, or other casualty, CITY, by written notice to OPERATOR, <br /> shall have the right to cancel this Agreement pursuant to Article 13.0 on the basis that CITY <br /> does not choose to rebuild or restore the Golf Course, and in such event neither party shall have <br /> any further obligation to the other party under this Agreement, except with respect to liabilities <br /> accruing, or based upon events occurring, prior to the effective date of such cancellation.
