13.02 Rights Upon Cancellation. <br /> 13.02.1 CITY's Rights upon Cancellation. Upon cancellation of this Agreement by <br /> CITY pursuant to Section 13.01, CITY shall have the following rights: <br /> a) to collect from OPERATOR any and all monies owing to CITY under this <br /> Agreement; <br /> b) to take sole possession of the Bank Account; and <br /> c) to require Operator to vacate the Premises. <br /> 13.02.2 OPERATOR's Rights upon Cancellation. Upon such cancellation, <br /> OPERATOR shall be entitled to any unpaid portion of the Combined Management Fee <br /> attributable to performance which occurs prior to the cancellation date, less any damages <br /> incurred by CITY as a result of OPERATOR's failure to fully satisfy OPERATOR's obligations <br /> under this Agreement. <br /> 14.0 TRANSITION PROCEDURES. <br /> 14.01 Contract Transition Period. The "Contract Transition Period" shall mean: (i) the six <br /> (6) month period immediately prior to expiration of the term; (ii) the period from the date CITY <br /> gives notice of default under Section 12.02 until the date of termination; or (iii) the period from <br /> the date the CITY gives notice of cancellation under Section 13.01 until the date of <br /> cancellation. <br /> 14.02 Contract Transition Procedures. During the Contract Transition Period: <br /> a) OPERATOR shall allow CITY and others to interview and discuss employment <br /> opportunities with OPERATOR's on -site and off -site employees. <br /> b) OPERATOR shall not transfer any Management Staff without the consent of <br /> Director. <br /> c) OPERATOR and CITY shall refrain from coercing, threatening or harassing any <br /> employee who expresses interest in being employed by CITY, OPERATOR or other party after <br /> the Agreement has expired, or has been terminated or cancelled. <br /> d) OPERATOR and CITY shall cooperate in good faith on post- contract support <br /> services, data management, inventory control, transfer of employees and other issues necessary <br /> and appropriate to ensure smooth transition of operating responsibilities from one party to <br /> another. Nothing in this paragraph shall be construed to require CITY to hire additional <br /> personnel or spend additional monies. <br /> 43 <br />
