Kent Alkire, II dated August 2001 (Exhibit S); <br /> q) Agreement for Conservation Easement Monitoring Services between City of <br /> Pleasanton and the California Rangeland Trust, dated January 15, 2005 <br /> (Exhibit T); <br /> r) Water Quality Control Plan prepared for City of Pleasanton by Balance <br /> Hydrologics, Inc., dated September 2007 (Exhibit U); <br /> 4.07.8 Notification to City of Defect or Illegal Activity. OPERATOR shall <br /> immediately notify CITY upon discovering a possible workmanship or material defect in any <br /> structure or improvement on the Golf Course or upon discovery of any unauthorized dumping, <br /> disposal or use or activity on the Golf Course. <br /> 4.07.9 Inspections. Each quarter during the term of this Agreement, the Director shall <br /> inspect the Golf Course for purposes of OPERATOR's compliance with the terms of the <br /> Maintenance Standards attached as Exhibit B. Such inspections may be scheduled or <br /> unscheduled, so long as they do not interfere with normal course operations. If requested by <br /> the Director, the General Manager and Course Superintendent shall attend the inspection. <br /> CITY agrees that the Director shall act reasonably and in good faith in making the <br /> determination whether the operating and maintenance standards have been satisfied. The <br /> Director and/or the General Manager of the Golf Course shall prepare a detailed list of all areas <br /> that the Director considers in need of correction, improvement or repair "Corrective Action <br /> Item This list shall include the steps OPERATOR intends to take to correct, improve, or <br /> repair the Corrective Action Items and the time schedule for doing so. <br /> 4.07.10 Liquidated Damages. Except as provided below, if a particular Corrective <br /> Action Item has not been corrected, improved, or repaired by the date indicated on the list <br /> described in Section 4.07.9 then OPERATOR shall pay as liquidated damages to CITY the <br /> amount of one thousand dollars ($1,000) per month for each such uncorrected Corrective <br /> Action Item. These liquidated damages shall not apply to: (a) any outstanding Corrective <br /> Action Item that OPERATOR is diligently and timely correcting in accordance with the time <br /> schedule prepared in Section 4.07.9; and (b) any Corrective Action Item that OPERATOR is <br /> unable to correct, improve, or repair because of the occurrence of a "Force Majeure Event" (as <br /> defined in Section 15.04 of this Agreement). <br /> 17 <br />
