1.51 Pro Shop. "Pro Shop" is the golf professional shop located in the Clubhouse. <br /> 1.52 Recognized Clubs. "Recognized Clubs" are a Men's Club and a Women's Club. <br /> 1.53 Resale Inventory. "Resale Inventory" is Pro Shop merchandise and food and <br /> beverage items. <br /> 1.54 Senior Golfers. "Senior Golfers" are golfers who are at least sixty (60) years of age. <br /> 1.55 Superintendent. "Superintendent" is an employee of Operator who is in charge of Golf <br /> Course maintenance, is a Class A member of the GCSAA and has a Qualified Applicator <br /> Certificate "QAC in categories B and F. <br /> 1.56 Supplies. "Supplies" are consumable items used in or held in storage for use in the <br /> operation of the Golf Course, including scorecards and cart tickets, driving range balls, locker <br /> room and bathroom supplies, towels, fuel, cleaning materials, fertilizers, pesticides, seed, <br /> maintenance parts and supplies, office supplies, and other similar items. <br /> 1.57 Total Management Fee Attainable. "Total Management Fee Attainable" is set forth <br /> in Section 8.03.1. <br /> 1.58 USGA. "USGA" is the United States Golf Association. <br /> 2.0 TERM. <br /> 2.01 Term. The term of this Agreement (the "Effective Date shall commence July 1, 2010 <br /> and shall end on June 30, 2015 unless otherwise terminated or cancelled pursuant to this <br /> Agreement. <br /> 2.02 Extension. CITY and OPERATOR shall have the right, but not the obligation, upon <br /> their mutual agreement to extend the term of this Agreement, subject to such additional or other <br /> terms and provisions as the parties may agree in writing. The preceding sentence shall not <br /> obligate either party to extend the term of this Agreement. The failure of either party to agree <br /> to an extension of the term of this Agreement shall not be deemed a breach by such party of the <br /> covenant of good faith and fair dealing. If a party is interested in pursuing negotiations to <br /> extend the term of the Agreement, the party shall provide notice to the other party not later than <br /> twelve (12) months prior to the expiration of the term of the Agreement. No less than six (6) <br /> months prior to the expiration of the term of the Agreement, the parties shall enter into an <br /> extension of the Agreement or provide notice that the Agreement will not be extended and that <br /> Section 14.0, "Transition Procedures," of the Agreement is effective. <br /> 6 <br />
