FIRST AMENDMENT <br /> TO <br /> AGREEMENT PROVIDING FOR STABILIZATION OF <br /> MOBILEHOME SPACE RENTS <br /> This First Amendment to Agreement Providing for Stabilization of Mobilehome Space <br /> Rents "Agreement" or "First Amendment is made and entered into as of <br /> 2010, by and between PLEASANTON MOBILE HOME PARK, LP, a California limited <br /> partnership (successor -in- interest to Vineyard Mobile Villa, LLC and to Daniel Guggenheim) <br /> "Park Owner"), and the CITY OF PLEASANTON, a municipal corporation "City <br /> 1. Recitals. <br /> 1.1 Original Agreement. Park Owner and City are parties to that certain Agreement <br /> Providing for Stabilization of Mobilehome Space Rents dated as of October 16, 2007 "Rent <br /> Stabilization Agreement with regard to the amount of rentals for rental lots at that certain <br /> mobilehome park known as Vineyard Mobile Villa mobilehome park "Park located in <br /> Pleasanton, California, all as more particularly described therein. All terms defined in the <br /> Original Agreement shall have the same meanings when used in this Agreement, unless a <br /> different meaning is clearly expressed herein. <br /> 1.2 Term. Section XI of the Rent Stabilization Agreement provides for the term of <br /> the Rent Stabilization Agreement, including the date of the termination of the Rent Stabilization <br /> Agreement. <br /> 1.3 Cost of Living. Section 1.B of the Rent Stabilization Agreement defines the Cost <br /> of Living based upon a change during the twelve (12) month period ending in August each year <br /> "COL Year as more fully set forth therein. <br /> 1.4 Amendment. The parties hereto desire to amend the Rent Stabilization <br /> Agreement to reflect new dates and circumstances upon which the Rent Stabilization Agreement <br /> shall terminate and to otherwise modify and amend the Rent Stabilization Agreement as set forth <br /> in this Agreement. <br /> 2. Termination Date. <br /> Section X1 ["Term of the Rent Stabilization Agreement is hereby deleted in its entirety <br /> and shall be replaced with the following: <br /> XI. TERM <br /> The Agreement shall take effect on October 1, 2007 and shall terminate on the <br /> Expiration Date (as defined below), unless sooner terminated under the terms of <br /> this Agreement. The "Expiration Date" shall be December 31, 2017, unless the <br /> Cost of Living is below seven percent (7.0 for each COL Year occurring <br /> between the date of the First Amendment and August, 2017, in which case the <br /> Expiration Date shall automatically be extended to December 31, 2022. <br /> UO22410/4640 001 B -2 <br />
