ATTACHMENT 1 SCULPTURE EXHIBITION AGREEMENT This is to confirm that The Sculpture Foundation will provide an exhibition of eleven (11) life -size, bronze sculptures by artist J. Seward Johnson to PLEASANTON, CA, hereinafter known as the "Exhibitor These sculptures remain the property of The Sculpture Foundation, Inc. These sculptures will be sited on public view for a period of three (3) months commencing April 1, 2010 and ending June 30, 2010. The Exhibitor agrees to pay the cost of round trip shipping, leasing /conservation fees, and insurance for the sculptures in the amount of $18,000. One -half the total amount will be due upon signing this agreement, and one -half the total amount will be due upon notification of shipment of the exhibition. The crew and the equipment for installation and de- installation will be provided by the Exhibitor. Insurance coverage provided by The Sculpture Foundation, Inc. is for in- transit and on site. This insurance covers the sculptures only, and is not a liability policy. The Exhibitor will not undertake or permit any intentional destruction, damage or modification to the sculptures. Any damage to the sculptures should be reported in writing to The Sculpture Foundation immediately. The Sculpture Foundation shall be the only authorized party to restore the sculptures. All aspects of the Agreement remain in effect until the sculptures are returned to the possession of The Sculpture Foundation or its agents. This Agreement is renewable upon mutual written agreement between The Sculpture Foundation and Exhibitor. The Foundation is the copyright owner of the Sculptures and shall retain copyright ownership of the Sculptures. The Exhibitor agrees to never contest the copyright of the Foundation and /or its successor(s), heir(s), and /or assign(s) in the Sculptures. It is understood that any photographic or other image, including any derivative, of the Sculptures may not be used for commercial purposes. If the
