ATTACHMENT 1 <br /> SCULPTURE EXHIBITION AGREEMENT <br /> This is to confirm that The Sculpture Foundation will provide an exhibition <br /> of eleven (11) life -size, bronze sculptures by artist J. Seward Johnson to <br /> PLEASANTON, CA, hereinafter known as the "Exhibitor These sculptures remain <br /> the property of The Sculpture Foundation, Inc. These sculptures will be sited on <br /> public view for a period of three (3) months commencing April 1, 2010 and ending <br /> June 30, 2010. The Exhibitor agrees to pay the cost of round trip shipping, <br /> leasing /conservation fees, and insurance for the sculptures in the amount of $18,000. <br /> One -half the total amount will be due upon signing this agreement, and one -half the <br /> total amount will be due upon notification of shipment of the exhibition. The crew <br /> and the equipment for installation and de- installation will be provided by the <br /> Exhibitor. Insurance coverage provided by The Sculpture Foundation, Inc. is for in- <br /> transit and on site. This insurance covers the sculptures only, and is not a liability <br /> policy. <br /> The Exhibitor will not undertake or permit any intentional destruction, damage or <br /> modification to the sculptures. Any damage to the sculptures should be reported in <br /> writing to The Sculpture Foundation immediately. The Sculpture Foundation shall be <br /> the only authorized party to restore the sculptures. All aspects of the Agreement <br /> remain in effect until the sculptures are returned to the possession of The Sculpture <br /> Foundation or its agents. This Agreement is renewable upon mutual written <br /> agreement between The Sculpture Foundation and Exhibitor. <br /> The Foundation is the copyright owner of the Sculptures and shall retain copyright <br /> ownership of the Sculptures. The Exhibitor agrees to never contest the copyright <br /> of the Foundation and /or its successor(s), heir(s), and /or assign(s) in the <br /> Sculptures. It is understood that any photographic or other image, including any <br /> derivative, of the Sculptures may not be used for commercial purposes. If the <br />
