ATTACHMENT 1 <br /> Exhibits A B <br /> Certificate(s) of Insurance <br /> Professional Liability Insurance <br /> DESIGN PROFESSIONAL SERVICES AGREEMENT <br /> THIS AGREEMENT is entered into this day of September 2009, between the <br /> CITY OF PLEASANTON, a municipal corporation "City and TRUEPOINT SOLUTIONS, <br /> LLC whose address is 3262 PENRYN ROAD, SUITE 100 -B, LOOMIS, CA 95650 and <br /> telephone number is (916) 577 -1470 "Consultant <br /> RECITALS <br /> A. Consultant is qualified and experienced in providing the installation of Accela <br /> Automation software for municipalities migrating from the KIVA land management system. <br /> B. City finds it necessary and advisable to use the services of Consultant for the <br /> purposes provided in this Agreement. <br /> NOW, THEREFORE, in consideration of the mutual covenants and conditions in this <br /> Agreement, City and Consultant agree as follows: <br /> 1. Consultant's Services. Consultant shall diligently perform the services and <br /> furnish the materials, reports, files and diagrams and related information for the installation of <br /> Accela Automation software as described in Exhibit "A Scope of Work, attached and <br /> incorporated to the extent consistent with this Agreement. <br /> 2. City Assistance. In order to assist Consultant in this work, City shall provide <br /> assistance as outlined in Exhibit A. <br /> 3. Staff. Consultant shall assign Terry Durin as the project manager, who may not <br /> be replaced without written consent of City. <br /> 4. Term. Time is of the essence. Consultant shall begin work September 1, 2009 <br /> with an estimated completion date of June 1, 2010. City and Consultant shall agree to a project <br /> schedule detailing key stages of the project. <br /> 5. Compensation. For the services to be rendered, City shall pay Consultant a not <br /> to exceed amount of $224,100 as described more particularly in Attachment "A of Exhibit A <br /> which is attached and incorporated to the extent consistent with this Agreement. Final payment <br /> shall be made upon acceptance of the work by the City and approval of Consultant's invoice. <br /> Page 1 of 7 <br />
