Phase I improvements, as described below, will exceed their respective ultimate
pro rata shares of the cost of such improvements, making them eligible for
reimbursement. Reimbursement depends on the ultimate development of the
parcels within the Corridor, including the Property.

The Specific Plan specifies the policies associated with the dedication and/or
acquisition of the rights-of-way for the realigned Vineyard Avenue and school
loop road. It was contemplated that dedication would occur as prqjects develop.
and any acquisition would occur as necessary to incorporate the required
infrastructure. That portion of the Vineyard Avenue right-of-way and the school
loop road are to be dedicated in conjunction with development of the Project.

In order to construct the roadway improvements contemplated by the City and the
District in a financially feasible way, the right-of-way must be dedicated at no
cost at this time, with eventual payment, if contemplated in the Specific Plan,
taking place as development occurs, as originally contemplated.

PG&E has planned a 230KV transmission line in the Vineyard Corridor and has
received approval from the State of California Public Utilities Commission to
construct this line in the new right-of-way of Vineyard Avenue, if available by
July 1, 2002, or, if not, within the existing right-of-way. The City, the District,
and property owners prefer this line to be constructed in the realigned Vineyard

Revision #2, Draft Lin Development Agreement Page 4 of 17
