<br />as of the Closing Date, the Reserve Requirement shall be equal to the amount set forth In <br />Section 3.02 hereof. <br /> <br />"Resoonsible Officer" means any officer of the Trustee assigned by the Trustee to <br />administer the trusts established hereunder. <br /> <br />"Reserve Fund" means the fund by that name established pursuant to Section 3.06. <br /> <br />"Revenue Fund'" means the Sewer Revenue Clearing Fund of the City. <br /> <br />"Revenues'" means all gross income and revenue received or receivable by the City <br />from the ownership and operation of the Enterprise. calculated in accordance with Generally <br />Accepted Accounting Principles. including all rates, fees and charges received by the City for <br />Sewer Service and all other income and revenue howsoever derived by the City from the <br />Enterprise or arising from the Enterprise: provided. however. that any specific charges levied <br />for the express purpose of reimbursing others for all or a portion of the cost of the acquisition <br />or construction of specific facilities, including regional connection fees forwarded to third <br />parties, are not Revenues and are not subject to the lien of the Indenture. <br /> <br />"S&P" means Standard & Poor's Ratings Group. a division of McGraw Hill <br />Incorporated. its successors and assigns. <br /> <br />"Securities Deoositories" means The Depository Trust Company. 55 Water Street. 50th <br />Floor. New York. New York 10041-0099. Attention: Call Notification Department. Fax (212) <br />855-7232; and. in accordance with then current guidelines of the Securities and Exchange <br />Commission. such other addresses and/or such other securities depositories as the City may <br />designate in \\Titing to the Trustee. <br /> <br />"Sewer Sen'ice" means the sewer service made available or provided by the Enterprise. <br /> <br />"Trust Agreement'" means the Trust Agreement. dated as of September l. 1989 among the <br />City, the Corporation and the Prior Trustee, <br /> <br />'Trust Office" means the office of the Trustee designated in Section Il.I3 hereof. and <br />such other offices as the Trustee may designate from tirne to time: provided. however for <br />transfer. registration. exchange. payment and surrender of Bonds means care of the corporate <br />trust office of U.S. Bank. N.A.. in St. Paul. Minnesota or such other office designated by the <br />Trustee from time to time. <br /> <br />"Trustee" means U.S. Bank. N,A.. a national banking association duly organized and <br />existing under and by virtue of the laws of the United States. or its successor or any other bank or <br />trust company which may at any time be substituted in its place as provided in Section 7,01, <br /> <br />"Variable Rate Indebtedness" means any portion of any Contract or Parity Bond the <br />interest rate on which is not established at the time of issuance of such Contract or Parity Bond, <br /> <br />-10- <br /> <br />Pleasanton Cross Town Indenture (2).DOC <br />
