EXHIBIT C <br /> <br /> Description of Pro~ect <br /> <br /> The Project shall consist of the previously developed <br />Sears department snore (178,000 sq. ft.), plus an additional <br />380,000 square feet of Floor Area, and related malls and other <br />interior common areas, in new building improvements no be <br />constructed on the Property. Such additional Floor Area Shall be <br />allocated among one or more additional department stores, one or <br />more specialty stores and/or additional mall stores connecting <br />the foregoing and the existing improvements on the Property, or <br />other improvements permitted under the zoning currently <br />applicable to the Shopping Center. <br /> <br /> The Project shall also include related alterations and <br />additions to the exterior common area within the Shopping Center, <br />including multi-level parking decks in order to provide adequate <br />parking within the Shopping Center. <br /> <br /> The actual location of all building and other <br />improvements shall be submitted to the City by Developer at the <br />time specific plans for development of the Project are completed. <br />Such specific plans, including set back distances from public <br />roads, will be subject to design review as provided in Paragraph <br />4.4 of the Agreement. <br /> <br /> Developer shall not be permitted to construct such <br />additional department or specialty stores, additional mall store <br />buildings and connecting enclosed malls in excess of the height <br />of the highest existing department store building, mall store <br />building or enclosed mall, respectively, currently existing in <br />the Shopping Center. <br /> <br /> Developer shall provide, during the course of <br />development of the Project, additional automobile parking at <br />grade and within parking structures. Such additional parking <br />shall be provided on the basis that aggregate automobile parking <br />spaces within the Shopping Center, based upon total Floor Area <br />from time to time in the Shopping Center, shall comply with the <br />following ratios (unless the City shall approve a lesser ratio): <br />(a) department stores and mall-stores: 4.50 parking spaces per <br />1~000 square feet of Floor Area; and (b) specialty department <br />stores: 3.50 parking spaces per 1,000 square feet of Floor Area. <br />Developer shall be permitted to construct parking decks, which <br />shall not exceed three (3) levels above grade. <br /> <br /> Page 1 of 1 <br /> <br /> <br />
