Subject to the provisions of Article IX, this Amended <br />Cooperative Fee Agreement shall be binding upon and shall inure to the benefit of the parties and <br />their respective heirs, successors, representatives and assigns. <br /> <br /> Section 13.2 Ciw/District. As used herein, all references to "City." and]or <br />"District" shall include any and all councils, commissions, boards, dislxicts, departments. <br />agencies, officers, agents and employees thereof. <br /> <br /> Section 13.3 Entire Agreement/Amendment. Except as otherwise agreed by the <br />parties hereto, this Amended Cooperative Fee Agreement. including all recitals and Exhibits <br />hereto, constitutes the final, entire and complete agreement between the parties pertaining to the <br />subject matter hereof, and all prior and contemporaneous agreements, representations, <br />negotiations and understandings of the parties hereto, oral or written, are hereby superseded and <br />merged herein. Each party to this Amended Cooperative Fee Agreement acknowledges and <br />agrees that no representations, inducements, promises, or agreements have been made. orally or <br />otherwise, by any party, or anyone acting on behalf of an party., which are not expressly <br />embodied herein. No supplement, modification or amendment of this Amended Cooperative Fee <br />Agreement shall be binding unless executed in writing by the party making the waiver. No <br />waiver of any of the provisions of this Amended Cooperative Fee Agreement shall be deemed to <br />constitute a waiver of any other provisions, whether or not similar, nor shall any waiver <br />constitute a continuing waiver. <br /> <br /> Section 13.4 Counterparts. This Amended Cooperative Fee Agreement may be <br />executed in counterparts, each of which shall be deemed an original and. all of which together <br />shall constitute one and the same Amended Cooperative'Fee Agreement. <br /> <br /> Section 13.5 No Third Party Beneficiary. This Amended Cooperative Fee <br />Agreement, and each provision hereof, is intended solely for the mutual benefit of the parties to <br />this Amended Cooperative Fee Agreement, and is not intended for the benefit of any third party. <br />No third party, has or shall acquire any fights under this Amended Cooperative Fee Agreement <br />and no third party shall be entitled to rely upon or enforce this Amended Cooperative Fee <br />Agreement or any provision hereof. <br /> <br />June 1, 2001 <br /> <br /> <br />
