to enable such Paying Agent to carry out the duties of its offce. The Fiscal Agen~t and the Paying Agents are hereby authorized to redeem the Bonds and interest coupons appertaining thereto when duly presented for payment at maturity, or on call and redemption or on purchase by the Fiscal Agent prior to maturity, and to cancel all Bonds and coupons upon payment thereof and to return the same so can- celled to the Fiscal Agent. The Fiscal Agent shall keep accurate records of all funds administered by it and of all Bonds and coupons paid and discharged. The Council is hereby authorized to compensate the Fiscal Agent and the Paying Agents for their respective services rendered pursuant to the provisions of this Resolution. S£CTION 6.03. Liability of Agents. The recitals of facts, covenants and agreements herein and in the Bonds contained shall be taken as statements, cove- nants and agreements of the City, and neither the Fiscal Agent nor any Paying Agent assumes any responsibility for the correctness of the same, or makes any representations as to the validity or sufficiency of this Resolution or of the Bonds or coupons, or shall incur any responsibility in respect thereof, other than in con- nection with the duties or obligations herein or in the Bonds assigned to or imposed upon it. Neither the Fiscal Agent nor any Paying Agent shall be liable in connection with the pedormance of its duties hereunder, except for its own negligence or wilful misconduct. S~CTION 6.04. Notice to Agents. The Fiscal Agent and any Paying Agent shall be protected in acting upon any notice, resolution, request, consent, order, certificate, report, Bond or other paper or document believed by it to be genuine and to have been signed or presented by the proper party or partieS. The Fiscal Agent and any Paying Agent may consult with counsel, who may be counsel to the City with regard to legal questions, and the opinion of such counsel shall be full and complete authorization and protection in respegt of any actiog taken or suf- fered hereunder in good faith and in accordance therewith. Neither the Fiscal Agent nor any Paying Agent shall be bound to recognize any person as the holder of a Bond unless and until such Bond is submitted for inspection, if required, and his title thereto satisfactorily established, if disputed. Whenever in the administration of its duties under this Resolut~n the Fiscal Agent or any Paying Agent shall deem it necessary or desirable that a matter be proved or established prior to taking or suffering any action hereunder, such matter (unless other evidence in respect thereof be herein specifically prescribed) may, in the absence of bad faith on the part of the Fiscal Agent or the Paying Agent, be deemed to be conclusively proved and established by a certificate of the City, and such certificate shall be full warrant to the Fiscal Agent or the Paying Agent for any action taken or suffered under the provisions of this Resolution or any supplemental resolution upon the faith thereof, but in its discretion the Fiscal Agent or any Paying Agent may, in lieu thereof, accept other evidence of such matter or may require such additional evidence as it may seem reasonable.
