23 <br />the issuance of such additional series of Bonds, specifying the maximum principal <br />amount of Bonds of such series and prescribing the terms and conditions of sgch <br />additional series of Bonds. <br /> Such Supplemental Resolution shall prescribe the form or forms of Bonds <br />of such additional series and shall provide for the distinctive designation, denomi- <br />nations, methods of numbering, date, maturity dates, interest rates, interest pay- <br />ment dates, provisions for redemption prior to maturity (if desired), places of <br />payment of principal and interest and whether such Bonds are to be coupon Bonds <br />with 'or without provision for registration as to principal only or as to both principal <br />and interest or reglstcred Bonds without coupons. <br /> The Council may by such Supplemental Resolution prescribe any other <br /> provisions respecting the Bonds of such series not inconsistent with the terms of <br /> this Resolution, including registration, transfer and exchange provisions, provisions <br /> for the payment of principal and interest and sinking fund provisions. <br /> Before such additional series of Bonds shall be issued and delivered, the City <br /> shall file the following documents with thc Fiscal Agent: <br /> (a) A certificate of the City certifying that the City is in compliance with <br /> all covenants set forth in this Resolution and in all Supplemental Resolutions <br /> theretofore adopted by the Council. <br /> (b) The certificates of an independent certified public accountant and of <br /> a qualified independent engineer required by paragraph (f) of Section 3.03. <br /> SI~C?IOl, I 3.05. Limitations on and Proceedings ~or the Issuance o~ Additional <br /> Bonds. In addition to the Bonds authorized to be issued pursuant to fO. is Reso- <br /> lution, the City may issue bonds payable from the Revenues and secured by a <br /> lien and charge upon the Revenues equal to the lien and charge securing the <br /> Bonds issued hereunder, but only subiect to the following specific conditions, which <br /> are hereby made conditions precedent to the issuance of any sgch bonds (herein <br /> called "Additional Bonds"):. <br /> (a) The City shall be in compiianee with all covenants set forth in this <br /> Resolution and in all Supplemental Resolutions theretofore adopted by the Council, <br /> and a certificate of the City to that effect shall have been filed with the Fiscal <br /> Agent. <br /> (b) The issuance of the Additional Bonds shall have been'~fluly authorized <br /> at an election pursuant to the Law (unless such Additional Bonds are being <br /> issued for the purpose of refunding outstanding Bonds or Additional Bonds and <br /> no such election is then required by law), and the issuance of the Additional Bonds <br /> shall have been provided for by a Supplemental Resolution duly adopted by the <br /> Council. <br /> (c) Said Supplemental Resolution shall require that the proceeds of the Addi- <br /> tional Bonds be applied solely for the purpose of the acquisition, construction, <br /> improvement and financing of improvements or additions to the Enterprise, includ- <br /> ing payment of costs incidental to or connected with said acquisition, construction, <br /> <br /> <br />
