14 as to principal no valid transfer hereof can be made, except at such office by the registered owner in person or by duly authorized attorney End simi- larly noted hereon, until after registered transfer to bearer, but a/ter reghtered transfer to bearer, this Bond shall be again transferable by delivery. Regis- tration as to principal only, however, shall not affect the negotiability of the coupons which shall remain payable to hearer and transferable by delivery. This Bond, if fully registered as to both principal and interest, shall be trans- ferable only in accordance with the terms endorsed upon the back hereof. The rights and obligations of the City and of the holders and registered owners of the Bonds may be modified or amended at any time in the manner, to the extent and upon the terms provided in the Resolution, but no such modification or amendment shall (1) extend the maturity of this Bond, or reduce the interest rate hereon, or otherwise alter or impair the obligation of the City to pay the principal hereof, or interest hereon, or any premium pay- able on the redemption hereof, at the time and place and at the rate and in the currency provided herein, without the express consent of the holder or registered owner of this Bond, or (2) reduce the percentage of Bonds required for the written consent to an amendment or modification; all as more fully set forth in the Resolution. It is hereby certified that all of the conditions, things and acts required to exist, to have happened or to have been performed precedent to and in the issuance of this Bond do exist, have happened or have been performed in due time, form and malaner as required by law and that the amounf'of this Bond, together with all other indebtedness of the City, does not exceed any limit prescribed by the Constitution or laws of the State of California, and is not in excess of the amount of Bonds permitted to be issued under the Resolution.
