Gary's Water Truck Service: Moving and Related Expenses Reestablishment Expenses Loss of Business Goodwill G & M Street Sweeping Service: Moving and Related Expenses Reestablishment Expenses $47,500 Sub-total Total $1,147,500.00 (b) Owners agrees that the payment received, pursuant to paragraph l(a) above, constitutes full satisfaction of any and all City obligations to Owners, including without limitation any obligations for moving and related expenses, relocation assistance, relocation benefits, loss of goodwill, compensation for personal property, furniture, fixtures, machinery and equipment, leasehold interests, and damages of any nature. (c) The Parties further agree that this Agreement is contingent upon a Phase I Environmental Report indicating that no hazardous materials are present at impermissible levels at the Property. If the report determines that hazardous materials are present and require remediation, the Parties agree to negotiate in good faith regarding the consideration for the Property and the responsibility for remediation costs. Vacation and Use Of Property (a) Owners represent and warrant to City that Owners shall have completely vacated the Property on or before May 31, 2001 at 12:00 noon. The Parties agree that Owners may remain on the Property from the date of close of escrow until May 31, 2001, without the payment of any rent or consideration. Owners shall provide the City with fifteen (15) days prior notice of intent to vacate. (b) Owners represent and warrant to City that Owners shall not permit any other persons to reside at the Property, except for the Owners, from the date of close of escrow until Owners vacate the Property. Owners further represent and warrant that no new hazardous materials or activities shall occur at the Property from the date of close of escrow until Owners vacate the Property.
