CITY COUNCIL OF THE CITY OF PLEASANTON ALAMEDA COUNTY, CALIFORNIA RESOLUTION NO. 00-147 WHEREAS, WHEREAS, WHEREAS, WHEREAS, WHEREAS, WHEREAS, RESOLUTION APPROVING REVENUE BOND FINANCING OF THE EXPORT PIPELINE FACILITIES PROJECT BY THE LIVERMORE-AMADOR VALLEY WATER MANAGEMENT AGENCY, AUTHORIZING EXECUTION OF RELATED SEWER SERVICE CONTRACT, AND RELATED MATTERS the City of Pleasanton (the "City") is, together with the City of Livermore and the Dublin San Ramon Services District (the "District"), one of the Members of the Livermore-Amador Valley Water Management Agency CLAVWMA"); and LAVWMA is proposing, with the approval of the Members, to finance the Export Pipeline Facilities Project, as more particularly described in that certain Engineer's Report, dated September 2000, entitled "Livemore Amador Valley Water Management Agency Export Pipeline Facilities Project Engineer's Finance Report," as revised from time to time (the "Project"); and LAVWMA proposes to finance the costs of acquiring and constructing the Project through the issuance of its revenue bonds in one or more series, as needed, to complete the Project (the "Bonds"); and LAVWMA will continue to provide Sewer Service to the Members, as defined in that certain Sewer Service Contract, dated as of November 1, 2000, among LAVWMA and the Members; and the Members are obligated under the Sewer Service Contract to make payments for sewer service which is calculated to be sufficient to pay debt service on the Bonds; and the firm of Morgan Stanley & Co. Incorporated (the "Underwriter") has been selected to underwrite the Bonds and LAVWMA, with the assistance of the Members, the Underwriter, Bond Counsel and Underwriter's Counsel, has prepared a Preliminary Official Statement (the "Preliminary Official Statement"), which describes to prospective purchasers of the Bonds, the Project, the Members, LAVWMA and the Bonds (including specifically the security therefor); and
