CITY COUNCIL OF THE CITY OF PLEASANTON <br />ALAMEDA COUNTY, CALIFORNIA <br />RESOLUTION NO. 00-147 <br /> <br />WHEREAS, <br /> <br />WHEREAS, <br /> <br />WHEREAS, <br /> <br />WHEREAS, <br /> <br />WHEREAS, <br /> <br />WHEREAS, <br /> <br />RESOLUTION APPROVING REVENUE BOND FINANCING <br />OF THE EXPORT PIPELINE FACILITIES PROJECT BY <br />THE LIVERMORE-AMADOR VALLEY WATER <br />MANAGEMENT AGENCY, AUTHORIZING EXECUTION <br />OF RELATED SEWER SERVICE CONTRACT, AND <br />RELATED MATTERS <br /> <br />the City of Pleasanton (the "City") is, together with the City of Livermore and the <br />Dublin San Ramon Services District (the "District"), one of the Members of the <br />Livermore-Amador Valley Water Management Agency CLAVWMA"); and <br /> <br />LAVWMA is proposing, with the approval of the Members, to finance the Export <br />Pipeline Facilities Project, as more particularly described in that certain Engineer's <br />Report, dated September 2000, entitled "Livemore Amador Valley Water <br />Management Agency Export Pipeline Facilities Project Engineer's Finance <br />Report," as revised from time to time (the "Project"); and <br /> <br />LAVWMA proposes to finance the costs of acquiring and constructing the Project <br />through the issuance of its revenue bonds in one or more series, as needed, to <br />complete the Project (the "Bonds"); and <br /> <br />LAVWMA will continue to provide Sewer Service to the Members, as defined in <br />that certain Sewer Service Contract, dated as of November 1, 2000, among <br />LAVWMA and the Members; and <br /> <br />the Members are obligated under the Sewer Service Contract to make payments for <br />sewer service which is calculated to be sufficient to pay debt service on the Bonds; <br />and <br /> <br />the firm of Morgan Stanley & Co. Incorporated (the "Underwriter") has been <br />selected to underwrite the Bonds and LAVWMA, with the assistance of the <br />Members, the Underwriter, Bond Counsel and Underwriter's Counsel, has prepared <br />a Preliminary Official Statement (the "Preliminary Official Statement"), which <br />describes to prospective purchasers of the Bonds, the Project, the Members, <br />LAVWMA and the Bonds (including specifically the security therefor); and <br /> <br /> <br />
