Esq. <br /> <br /> TERMINATION AGREEMENT <br /> <br /> This TERMINATION AGREEMENT, da~d as of ,1994 is <br />among the City of Pleasanton (the "City"), the City of Pleasanton Public Facilities Corporation <br />(the "Corporation") and Bank of America National Trust and Savings Association (the "Initial <br /> <br />WITNESS~ t H: <br /> <br /> WHEREAS, the Corporation has previously executed a Deed of Gift. dated as <br />of October i, 1987 (the "Deed of Gift'), granting to the City an interest in the real property <br />described as Site I of Exhibit A hercto ("Site 1"), and retaining therein an estate in years; and <br /> <br /> WHEREAS, in ordm' to fina.n~ eertmn improvements (collectively, the "1987 <br />Project"), the City has previously entered inw a site lease with the Corporation, dated as of <br />October l, 1987 (the "1987 Site Lease"), in connection with the property described her~to as <br />Site I in Exhibit A ("Site 1"); and <br /> <br /> WEEAS, in connection with the financing of such 1987 Project, the <br />Corpormaon leased Site 1, and certmn improvements thereon, to the City pursuant m a fat:lilly <br />lease. dazed as of October 1, 1987 (the "1987 Facility Lease"); and <br /> <br /> WEEAS, pursuant to that certmn Assignment Agreement, dated as of <br />Ocwber 1, 1987 (the "I 987 Assignment Agreement" ), between the Corporation and the Initial <br />Trustee, the Corporation has assigned to the Initial Trustee, for the benefit of the owners of <br />the Corporation's 1987 Certificates of Panieipction (Capital Projects I and If) (the "1987 <br />Certif~,'~--s"), eenmn of its rights under the 1987 Facility Lease, including its right to receive <br />Base R~ntal and Additional Rental payments (as defined therein) and its rights to enforce <br />payment of such payments and otherwise to enforce its interests and rights under the 1987 <br />Facility Lease in the event of default by the City; and <br /> <br /> WHEREAS, pursuant to that certmn trust agreement, dated as of October 1, <br />1987 (the "1987 Trust Agreement"), between the Corporation, the City and the Initial Trustee, <br />the lnitzai Trustee executed and delivered the 1987 Certificates; and <br /> <br /> WHEREAS, the 1987 Facility Lease provides that City may purehue the 1987 <br />Project prior to the termination date of the 1987 Facility Lease, and the City has complied <br /> <br /> <br />
