Resolution No. 94-46 Page Two Section 1: Secflon 2: Section 3: Approval of Termination Agreement. The form of Termination Agreement, curren~y dated as of April i, 1994 (the "Termination Agreement"), among the City, the Corporation and Bank of America National Trust and Savings Association, as presented to this meeting are hereby appmved. The City Manager and Assistant City Manager, and the City Clerk or any other officers designated by the City (the "Officers") ~xe hereby authorized and directed, for and on behalf of the City, to execute, acknowledge and deliver the Termination Agreement, in substantially the form presented to this meeting, with such changes therein as such Officers may require or approve, with the advice and approval of the City Attorney, such approval to be conclusively evidenced by the exeeuflon an delivery thereof. Approval of Escrow Instructions. The form of Escrow Instructions, currently dated as of April 1, 1994 (the "Escrow Instructions"), among the City, the Corporation and Bank of America National Trust and Sa~'ings Association, as presented to this meeting are hereby appmved. The Offices are hereby authorized and directed, for and on behalf of the City, to execute, acknowledge and deliver the Escrow Instructions, in substantially the form presented to this meeting, with such changes therein as such Officers may require or approve, with the advice and approval of the City Attorney, such approval to be conclusively evidenced by the execution and delivery thereof. Other Acts. The Officers and staff of the City axe hereby authorized and directed, joinfly and severally, to do any and all things, to execute and deliver any and all documents, which in consultation with Nosseman, Guthner, Knox & Elliott, the City's bond counsel, they inay deem necessary or advisable in order to effectuate the purposes of this Resolution, and any and all such actions previously taken by such Officers or staff members are hereby ratified and confirmed. Section 4: Effective Date. This resolution shall become effective immediately upon its passage and adoption.
