10o <br /> <br /> the Agency in connection with projects undertaken <br /> pursuant to Paragraph XI-A(7) after the notice of <br /> withdrawal has been received. A withdrawing party <br /> shall continue to be responsible for its share of <br /> the general budget during the five-year withdrawal <br /> period." <br /> <br />Existing Paragraph XX shall be renumbered as'hereinafter <br />provided and a new paragraph is added as Paragraph XXI to <br />read as follows: <br /> <br />"XXI. Successors: Assignment. This Agreement shall be <br /> binding upon and inure to the benefit of the successors <br /> or assigns of the Parties hereto. No Party to this <br /> Agreement may assign any right or obligation herein <br /> Wkhout the written consent of each of the other Parties. <br /> <br />Paragraph 2 (Capital Expenditures) of Exhibit A is amended <br />to read as follows: <br /> <br /> 2. Capital Expenditures. A portion, or all, of the cost <br /> for Capital Expenditures may be financed by local funds <br /> or by State and Federal grants. Each Party's share of <br /> local funds shall be based upon the anticipated required <br /> capacity over the length of life of the improvement, <br /> effluent flow, and such Other factors as the Agency may <br /> deem appropriate.. For the purposes of funding Capital <br /> Expenditures, the Agency will thoroughly review financing <br /> alternatives, select the most feasible alternative to <br /> meet the directives of the State and Federal regulatory <br /> agencies and proceed as required by law. The Agency <br /> shall, as specified in subparagraphs (b), (c) and (d) <br /> <br />-12- <br /> <br /> <br />
