Arbitration of Disputes: All claims and disputes relating to this <br />Agreement shall be subject to arbitration, at the option of the parties, in <br />accordance with the arbitration rules of the American Arbitration Association, <br />except as modified herein. In case of dispute, the parties shall attempt to <br />resolve their dispute by good faith negotiations. If an impasse in negotia- <br />tions should occur, either party may request arbitration by filing such request <br />in writing with the other party. Should the other party fail to consent to <br />arbitration within thirty (30) days of receipt of a request for arbitration, <br />either party may proceed with legal action. If the parties agree to arbitra- <br />tion, an arbitration panel of three arbitrators shall beselected; one appointed <br />in writing by each party and a third chosen by the two who are appointed. No <br />one shall act as an arbitrator who is in any way financially interested in the <br />work or in the business affairs of either party. <br /> <br /> The arbitration panel shall obtain such information and evidence as deemed <br />necessary and proceed to render a prompt decision. Should either party refuse <br />or neglect to furnish the arbitrators with any necessary papers or information, <br />they shall render a decision based on the information available to them ex parte. <br /> <br /> The arbitrators, if'they so deem, are authorized to award to the party <br />whose contention is clearly upheld such sums as they deem proper for the expense <br />incident to the arbitration. Otherwi. Se, costs .of arbitrati on shall be borne <br />equally by both parties. The arbitrators shall be entitled to a reasonable <br />compensation taxable against the parties, or. party, as a cost of arbitration. <br /> <br /> Construction, use or operation of either party's facilities shall not be <br /> interrupted or delayed due to any arbitration proceedings except by written <br /> <br />agreement of both parties. <br /> <br />-9- <br /> <br /> <br />
