5. Legal Opinion. City and Stoneson must receive the <br />unqualified approving legal opinion of Messrs. Sturgis, Ness & Brunsell <br /> <br />a professional corporation as <br />and the bonds issued pursuant <br /> <br />IV. <br /> <br /> A. Developer waives any <br />Special Assessment Investigation, <br /> <br /> to the validity of the Assessment Districts <br /> thereto. <br /> <br />DEVELOPER AGREES TO ASSUME THE FOLLOWING OBLIGATIONS. <br /> <br />investigation proceeding under the <br /> <br /> Limitation and Majority Protest Act <br /> <br />of 1931 Of the State of California and agrees that said Act shall not <br />apply to any of the assessment district proceedings referred to herein <br />in which Developer is involved or is to be assessed. This waiver will <br />be binding upon any successors in interest or title of Developer to the <br />property described herein as Shopping Center, or to any part or portion <br />thereof, or any undivided interest therein, and Developer agrees that <br />any successor in interest, or any part or portion thereof, shall be <br />bound by this waiver and agrees that City will be furnished with evidence <br />of such agreement prior to City taking steps described in Section III of <br />this agreement° <br /> <br /> B. Developer (but not Stoneson) further hereby waives the right <br />to protest the formation of any of said described Assessment Districts <br />and agrees to do no act calculated or tending to prevent, impede or defeat <br /> <br />-11- <br /> <br /> <br />
