Although TMI, acting as general partner on behalf <br />of previously formed partnerships, has acquired and specifically <br />planned approximately 55 parcels of land in the manner described <br />above~ TMI has had no previous land-planning experience in the <br />Livermore Valley. <br /> <br /> 5. As part of its acquisition of the Property, TMI <br />has contracted to purchase 234 D.U.E. (Dwelling Unit Equivalent) <br />sewer-system connection permits (the "Sewer Permits") issued by <br />the Dublin San Ramon Services District ("DSRSD") pursuant to <br />Alameda County Superior Court Orders in Civil Action No. 423134 <br />filed December 19, 1972, and April 22, 1980 (the "Court Orders"). <br />One hundred of these permits, bearing Permit No. P-117, were <br />issued to First Pleasanton Investors, a partnership ("FPI") <br />on July 16, 1979. The remaining 134 permits are part of <br />Permit P-126 issued to FPI on May 29, 1980. All 234 Sewer <br />Permits are subject to a three-year time limit for obtaining <br />a building permit, unless that time limit is tolled pursuant <br />to the terms of Paragraph 8 of Exhibit B to the agreement <br />attached to and incorporated in the 1972 Court Order. Pursuant <br />to the April 22, 1980'Court Order, that three-year period <br />commenced to run on either the date the applicable permit was <br />issued, or upon removal of all LAVWMA outfall conditions to <br />the applicable permit, whichever is later. All of the LAVWP~ <br />conditions were satisfied on April 6, 1981 (Exhibit B attached) <br />and the three-year period commenced to run on all 234 Sewer <br /> <br />- 2 - <br /> <br /> <br />
