regarding this Agreement shall be brought in the State of <br />California, and both parties consent to the jurisdiction <br />of the Courts of the State of California for said purpose. <br /> <br />VIII.City shall appoint a representative to manage its responsi- <br /> bilities and duties under this agreement. <br /> <br />IX. <br /> <br />The specific task reports to be submitted to the City pursuant <br />to paragraph I.B. shall become the sole property of the City. <br />The Contractor agrees that the City or any of the duly <br />authorized representatives, shall, until &xpiration of one <br />year after final payment under this Agreement, have access <br />to and the right to examine any directly pertinent books, <br />documents, papers, and records of the Contractor involving <br />transactions related to this Agreement. <br /> <br />Neither party shall be in default by reason of any failure <br />in performance of this Agreement in accordance with its <br />terms if such failure arises out of causes beyond the control <br />and without the fault or negligence of the party. Such <br />causes may include, but are not restricted to, Acts of God <br />or of a public enemy, acts of the government in either its <br />sovereign or contractual capacity, riots, fires, floods, <br />epidemics, quarantine restrictions, strikes, freight <br />embargoes, but in every case the failure to perform must be <br />beyond the control and without the fault or negligence of <br />the party. <br /> <br />XI. <br /> <br />Any notice to be given hereunder by either party to the <br />other may be effected in writing by personal delivery or <br />by registered or certified mail, postage prepaid, return <br />receipt requested, and shall be deemed communicated as of <br />mailing. Mailed notices shall be addressed as set forth <br />below, but each party may change the address by written <br />notice in accordance with this paragraph: <br /> <br />-7- <br /> <br /> <br />
